Job Description
We are looking for an AGC to join our team and negotiate our MSA, EPC, and O&M agreements as well as handling our nondisclosure and other day-to-day agreements. This position will be collaborating with commercial leads on proper execution of negotiation strategy and with the General Counsel and VP of Compliance to ensure compliance with broader initiatives and with the agreements post-execution. This role would also occasionally step in to cover other areas of legal review, compliance or insurance as and if needed.
The ideal candidate will be an experienced in-house counsel who has a strong background in negotiating contracts for renewable energy and/or BESS projects. The candidate can manage multiple negotiations simultaneously while navigating competing priorities, excel in organization and has experience navigating executions which involve many cross-functional stakeholders. Flexibility and the willingness to learn will be crucial characteristics in this role as the currently small legal team covers a breadth of legal and legal adjacent workloads.
The position reports to the General Counsel.
Key Responsibilities
- Work with the commercial and technical leads to negotiate all the MSA, EPC, and O&M agreements needed to meet the projects’ procurement, engineering, construction, and operational requirements.
- Stay up to date with General Counsel and commercial and technical leads to ensure that agreements align with broader company strategies.
- Coordinate with VP of Compliance post-execution to ensure compliance with the executed agreements.
- Handle nondisclosure agreements and other day-to-day agreement markups.
- Provide temporary coverage for General Counsel or VP of Compliance as and when required.
- Ensure our agreements are compliant with regulations, obligations, and internal policies (including for insurance and cybersecurity compliance).
- Stay updated and compliant with evolving technical laws and regulations impacting our portfolio.
- Identify and assess potential terms and conditions and contractual risks, providing recommendations for risk mitigation strategies.
Qualifications and Experience
- JD degree, admission to, and good standing with one or more state Bars.
- 5+ years of work experience with an IPP, owner operator, electric utility, energy supplier, or energy intensive industrial or consumer company.
- Extensive commercial, contractual, technical, and practical knowledge of energy industry standards and legal and regulatory requirements.
